We dislike legal rhetoric as much as you, but we also believe it is important that you understand how we operate the VOICE convention and the policies that apply when you register. So, if you enjoy reading “legaleze,” or just have some time to kill, here’s the complete VOICE Policies, Terms & Conditions for your reading enjoyment. We completely understand if you prefer to not read this in its entirety, but you should at least read the first few paragraphs... and skim the rest.

Please note that your use of the VOICE convention website and any registration or purchase made through this website constitutes your understanding of, and agreement to these policies, terms, and conditions, even if you do not read them.

Welcome to the VoiceOver International Creative Experience. The domain addresses: www.voiceconvention.com, www.voice-international.com, www.voiceoverconference.com, www.voiceoverconvention.com, voiceactingconference.com, and other related domains (collectively, the “Website”), are operated by VoiceActing, LLC, a California Limited Liability Company (“Operator”, “we”, “our”, or “us”) under the auspices of the VoiceActing Academy. The Web site enables anonymous visitors to the Web site (“Visitors”) to learn more about us and the VoiceOver International Creative Experience (“VOICE”), and Visitors who are at least eighteen (18) years of age and not a minor in their state of residence, and who affirmatively indicate their agreement to abide by these Terms of Use (the “Agreement”) by means of a click-through consent, to register for VOICE as participants (“Participants”) or exhibitors (“Exhibitors”, and together with Participants, “Registrants”). Registrants and Visitors shall be collectively referred to herein as “you” or “your”. The Agreement sets forth the terms and conditions which govern your use of the Web site and certain aspects of the VOICE convention.

The VoiceOver International Creative Experience exists for the purpose of bringing together voiceover talent, actors, and other performers and business professionals with the intention of helping Participants to raise the standards of their work through Education in business and performing skills, a better understanding of the rapidly changing Technology of the industry, and by building strong personal and business relationships and networking opportunities through the creation of Community.

Please read the Agreement carefully before accessing the Web site. By accessing the Web site, Visitors agree to be bound by the terms and conditions set forth in the Agreement. If Visitors do not wish to be bound by the Agreement, they are not authorized to use the Web site.

We reserve the right to modify the Agreement at any time. You agree to review the Agreement periodically to be aware of such modifications. You further agree that your continued use of the Web site shall be deemed to be your conclusive acceptance of any modified Agreement. We will indicate that changes to the Agreement have been made by updating the date indicated after “Last Modified” at the beginning of the Agreement. If you do not agree to abide by any modified version of the Agreement, you are not authorized to use the Web site. A current version of the Agreement is accessible via the footer on all pages of the website.

A NOTE CONCERNING USE OF SCENTED PRODUCTS:

As voice actors, our voice is an extremely important part of our work. Scientific evidence has shown that the use of some scented products (i.e. perfume, deodorants, etc.), smoking, and some foods and beverages can have an adverse and often debilitating affect on the human voice, triggering physical health issues ranging from minor throat, nasal, and eye irritation, to coughs, breathing difficulty, and even migraine headaches. As producers of the VOICE convention, and being that we are also voice actors, we are very aware of the potential issues related to chemical allergies. As such, we make every effort to maintain a healthy and clean-air environment for our attendees. However, we need your help to make the VOICE experience the best it can be for all attending. We ask that you please be aware of potential issues that may result from your use of scented products, and that you consider using alternative products during the convention. Please also be aware that all areas of our convention are smoke-free, and that if you smoke outdoors, the residual effects of smoke odor on your breath or clothes may have an impact on some attendees. If you are prone to chemical or scent allergies and you find that the hotel is using products that affect your voice or health, we ask that you bring that to the attention of the hotel manager.

ACCESS TO CONVENTION AREAS FOR THE DISABLED:

We make every effort to accommodate the physically disabled. All convention areas are wheel chair accessible via ramps or elevators. For the visually impaired, the use of animal assistance is permitted in all areas and our VOICE Ambassador staff is available to assist if necessary. Please notify our staff when you check in or send an email to [email protected] if you think you might need assistance during the convention

1. VoiceOver International Creative Experience (VOICE).

1.1 About VOICE.. The VoiceOver International Creative Experience is a convention and training event which brings together voiceover performers, radio personalities, television personalities, casting directors, producers, directors, voiceover coaches, talent agents, writers, professional speakers, equipment vendors, on-camera actors, stage actors, and other leaders in the voiceover and performing arts industries. VOICE features numerous exciting and insightful entertainment industry related panel discussions, workshops and classes, and provides a forum for agencies and other parties searching for talent to network and meet with voiceover talent at all levels of experience. Registrants will be eligible to participate in most activities offered at VOICE on a first-come, first served basis.

1.2 Ownership. The name VoiceOver International Creative Experience, the VOICE logo, VOICE website, convention publications, and all other aspects of the VOICE convention are owned by James Alburger and Penny Abshire as co-owners of VoiceActing, LLC. Individual presenters, vendors, exhibitors, merchants, contributors, advertisers, sponsors or others offering content, materials, or services before, during or after the convention are solely and individually responsible for the accuracy and content of their offerings. The owners and management of the VOICE convention shall not be held liable for any omissions, loss, errors, or misrepresentations that may result by participating in this event. All content is protected by International copyright or trademark and may not be reproduced or sold without specific written permission from the appropriate owner.

1.3 Registration. Participants; Exhibitors. Participants may register for VOICE by completing the registration process, as more fully described in Section 2 hereof. Exhibitors must fill out the VOICE Exhibitor Application which can be obtained by contacting the VOICE Director of Sales and Marketing by e-mail at [email protected]  Exhibitors must read the corresponding VOICE Exhibitor Guide and agree to the VOICE terms and conditions attached to the VOICE Exhibitor Application (the “Exhibitor T&C”). Exhibitors acknowledge and agree that by returning the VOICE Exhibitor Application to us, or by filling out the VOICE Exhibitor Application with a VOICE staff member on the phone, via e-mail, and or fax, they agree to abide by the terms of the Exhibitor T&C.

1.4 Badges. Badges are the property of VoiceActing, LLC. It represents a license to attend the VOICE convention, Exhibit Hall and certain related events, but that license may be revoked or confiscated by VOICE. Matching photo ID is required for entry to the all events and the Exhibit Hall trade floor. Badges must be worn in plain view at all times while on convention site. Random distribution of promotional material or business cards or selling of product of any type is not allowed. The VOICE name badge is a copyrighted work registered by VoiceActing, LLC. Any person duplicating, altering, transferring, or otherwise fraudulently using this badge will be subject to criminal and civil prosecution, including but not limited to copyright and trademark  infringement, trespassing, forgery, and/or counterfeiting.

1.5 Directory. Upon registering for VOICE (either as a Participant or Exhibitor), and if included as a part of the VOICE convention, Registrants may elect to be listed in the VOICE official convention Directory. Such a listing will include each Registrant's name, phone number, e-mail address, address, web site, industry job and other information, which will be sent out to each Registrant along with thousands of other industry professionals via e-mail and other means after VOICE. A convention attendee/exhibitors directory may or may not be included as a part of the VOICE convention.

1.5.1 Directory Fee and Refund Policy. Registrants who choose to be listed in the VOICE Directory will pay a fee. If available, the VOICE Directory payment option will be included on either the main registration page or on a page for adding additional purchases. There are NO REFUNDS on VOICE Directory Listings once you complete your VOICE Directory listing transaction. You may, however, cancel your listing at any time and choose not to renew your listing in the VOICE Directory. To cancel your listing, you must send an e-mail no later than 60 days prior to the convention start date to [email protected] specifically requesting the listing be canceled.

1.6 Scanning PII. Certain of the personally identifiable information (“PII”) and other information provided by Participants at registration will be available to Exhibitors during the VOICE convention and thereafter; however, a Participant's credit card or other financial information shall not be provided to Exhibitors or any third party. Specifically, if bar code scanners are made available, Exhibitors who rent bar code scanners during VOICE will be able to scan a bar code contained on each Participant's name tag and obtain certain PII and other information about such Participant. Likewise, Exhibitors may request personal information from Participants. Participants agree that by providing us with their information at registration, Exhibitors are free to use such information.

1.7 Auditions; Interviews; Private Coaching; Photo sessions. Participants may register to participate in various auditions, interviews, photo sessions, and private coaching or consultations at VOICE as may be made available by certain Presenters, Sponsors, or Exhibitors at their discretion. Participants acknowledge and agree VOICE merely provides a forum for such activities and Operator has no control over the parties conducting such interviews or auditions. If made available, Participants who elect to participate in an audition or other activity may purchase a sound or video recording of such activity from a third party filming or recording such auditions on behalf of Operator. Such recordings will be available for purchase by e-mail after VOICE, and instructions of how to purchase such videos will be available during VOICE.

1.8 Performer’s Showcase. If made available or included as part of the VOICE convention, Registrants who are voiceover performers wishing to showcase their work for producers, talent agents, casting agents, talent buyers, and other creatives in the voiceover and performing arts industry, may purchase space at VOICE (the “Performer’s Showcase”) to showcase their portfolio and display voiceover demos, photos, pamphlets, video footage, web sites, business cards, etc). Registrants who participate in the Performer's Showcase (“Performers”) agree to adhere to all of the terms hereof, and specifically to Section 4.3 hereof. A Performer’s Showcase may not be included as a VOICE convention event, and if included will incur a registration fee in addition to convention tuition.

1.9 Networking Event. If included as a VOICE convention event, Registered VOICE attendees may submit voiceover demos, head shots, and resumes to talent agents, casting agents, talent buyers and production companies who have indicated their interest in accepting unsolicited submissions. A submission box or other container will be provided and clearly labeled for each participating agent or interested company. Attendees may only submit demos and other material in the approved containers. Business cards may be distributed directly to interested parties during the Networking Event. Submission of a voiceover demo or other material is not a guarantee of representation nor, in any way, implies the potential for representation or a future booking.

1.10 Recording of VOICE Events and Grant of Rights to Use Name, Image and Likeness. We will be videotaping and otherwise recording VOICE events and activities, and using the resulting footage, photographs, and/or sound recordings for promotional purposes and potential inclusion in various products that may be offered for free or made available for purchase. Each Registrant acknowledges and agrees that such Registrant hereby grants Operator the exclusive, perpetual, worldwide, royalty free right and permission to use, distribute, publish, exhibit, digitize, broadcast, display, reproduce, and otherwise use such Registrant's name, image, likeness, voice and biography (or any copyrighted material or trademarks owned and displayed by such Registrant) in any manner or media whatsoever (whether now known or hereafter devised) for the purposes of advertising or trade in promoting and publicizing VOICE, Operator and our products and services. Participant further agrees that if such use includes Participant’s name, voice, and likeness in a product that may be sold, Participant shall not be entitled to any compensation now or in the future for their inclusion in such a product. Creation of a product for sale is neither guaranteed, nor implied.

2. Registration.

2.1 VoiceActing Academy; Account. All Participants (including Exhibitors, Sponsors, Presenters, VIP attendees, Staff, and Volunteers) will be required to set up a FREE VoiceActing Academy account. This account is the only way Participants will be able to receive and download confirmation and registration materials. Upon setting up their account, Participant will receive a confirmation e-mail with their Username (their e-mail address) and a randomly generated Password. Participant must login to their account to download and/or print those items to which they have access. Participant can change their Password through the Edit Profile option after logging in to their account. Signing up for any VOICE item or event will either set up the Participant’s account (if item is the first time signed up), or add the item to Participant’s account. Signing up for an item already in the Participant’s account will result in an error message indicating that the item already exists in their account.

Creating a VoiceActing Academy free account does not register Participant for any convention events. Upon completion of a registration payment process, Participant will be redirected to a completion web page to add the registered item(s) to their account. If an item is not added to their account, Participant will not be able to access, print, or download the item.

2.2 Participant Profile; Password. Participants will receive a user ID and password (“Participant Profile”) to access their registration account (“Account”). Participants agree not to allow any third party to use their Participant Profile to access the Web site using their Participant Profile and to safeguard the information that would allow another person or entity to access the Web site by using their Participant Profile. Participants agree to be responsible for their failure to safeguard such information and/or to allow any other person or entity to access or use the Web site by using their Participant Profile. No part of a Participant Profile or Account may be transferred or sold to another party. Participants agree to notify Operator immediately of any unauthorized use of their Participant Profile, Account or the Web site. Registrants and Visitors agree that Operator shall not be liable for any loss that results from the unauthorized use of any Participant Profile or Account, either with or without such Participant's knowledge

2.3 Capacity. All pages of the VOICE website contain a footer summarizing convention policies and procedures. By navigating through the website, each Participant acknowledges that such Participant is at least eighteen (18) years of age, not a minor in such Participant's state of residence, and has read, agrees with and accepts to be bound by the terms and conditions set forth in the Agreement. Failure to read the VOICE Policies and Conditions page does not release participant from complying with any of the VOICE Policies, Terms, and Conditions detailed on this web site..

2.4 Children and Minors under 18 years of age. Minors under the age of 18 will be admitted to VOICE convention events upon completion of registration and payment of any required tuition or access fee. Minors under the age of 12 must be accompanied by an adult parent or guardian regardless of their level of work experience or involvement in the voiceover or performing arts industry. Proper proof of age with a photo ID is required to purchase alcoholic beverages at those convention events at which alcoholic beverages are available.

2.5 Accurate Information. Participants agree to provide us with accurate, complete and current information during registration, and to update information provided to us if and when such information should change.

2.6 Affiliate relationship. If available on their account Home page, Participants may choose to copy and post an optional Affiliate Link on their web site or in e-mail they send to their contact list. A commission will be paid to the Participant for any registration or purchase made by someone clicking on their Affiliate Link. Commission payments are made approximately 60-90 days after the original transaction date.

2.7 Refunds. All VOICE transactions are final. You may request a full refund for convention event registration within 30 days of the date of purchase, but no later than 30 days prior to the posted convention start date. Refund requests received later than 30 days from date of purchase and more than 30 days prior to the convention start date will be subject to a $100 service charge. There are no refunds for registration tuition or payments for optional convention purchases made either through the Web site or on-site at VOICE within 30 days of the posted convention start date. Participants are encouraged to verify their purchase and registration information before completing their credit card or PayPal transaction. Refunds for Exhibitor, Advertising, and Sponsorship payments are available only under the terms and conditions of the Exhibitor Agreement and within the deadlines specified in that agreement. Refund requests for Exhibit Hall purchases, hotel, travel, and other expenses not related to convention event registration are between the third-party vendor and the Registrant. Operator assumes no liability for third-party transactions or refund policies.

2.8 Transfer of registration. Any Participant who is unable to attend VOICE may transfer their registration to another party provided they notify the Operator 30 days or more from the event start date.  Transfer requests made during the 30 days prior to the VOICE start date will not be accepted. Notification of transfer must be in writing and must include the replacement Participant’s complete registration information. Upon verification of transfer, the original Participant’s registration will be canceled and their VoiceActing Academy account will be deactivated. Any financial transaction that may be part of a Transfer of Registration shall be between the original Participant and their replacement (see 10 below). Operator assumes no liability or responsibility for any financial transaction that may be part of a Transfer of Registration. Replacement Participant must contact Operator (see 18 below) and create a new VoiceActing Academy account in order to access VOICE confirmation and other materials.

2.9 Revocation of Registration. Participants agree that Operator has the right to cancel their registration to VOICE for any reason at any time, at its sole discretion.

3. Commercial Transactions.

3.1 Purchases. Certain products or services, including those services geared to Participants and Exhibitors, may be offered for sale through the Web site. In the event Registrants wish to purchase any of these products or services, they will be asked by Operator or an authorized third party on Operator's behalf to supply certain PII, including without limitation, their full name, address, telephone number and credit card information. Registrants agree to provide Operator or such third party with accurate, complete and current information at all times, and to comply with the terms and conditions of any agreement that they may enter into which governs their purchase of such product or service. Registrants shall be responsible for all charges incurred through their account as well as for paying any applicable taxes.

3.2 Payment. Your right to use any service or product that is available for purchase through the Web site is conditional on our receipt of payment for such service or product. If payment cannot be charged to a Registrant's credit card or through their PayPal account, or if a charge is refunded for any reason, including chargeback, such Registrant agrees that we reserve the right to either suspend or terminate your account, and/or any of our obligations hereunder.

4. Intellectual Property.

4.1 Copyright. Any content contained on the Web site (“Content”) is the property of Operator or its licensors or suppliers and is protected by copyright as a collective work or compilation under the copyright laws of the United States and other jurisdictions. You must abide by all copyright notices or restrictions contained on the Web site.

4.2 Trademarks. Unless otherwise indicated, all names, graphics, designs, logos, page headers, button icons, scripts, commercial markings, trade dress, and service names included in the Web site are Operator's trademarks or those of our licensors, sponsors or suppliers (collectively, the “Trademarks”) and are protected by the trademark laws of the United States and other jurisdictions. You may not use, copy, reproduce, republish, distribute or modify any Trademarks in any way, including in advertising or publicity pertaining to or distribution of materials on the Web site, without our prior written consent. The Trademarks may not be used in any manner that is likely to cause confusion, or in any manner that disparages or discredits Operator and/or VOICE.

4.3 Contributor Content. Contributors to the VOICE Magazine/Program (if made available), web site, optional convention audition or showcase opportunities, or other VOICE content, agree that they own or have acquired sufficient rights to any and all Content displayed by them (“Contributor Content”) at VOICE. Contributor also warrants and represents that Contributor Content provided by them does and will not infringe (i) any patent, trademark, trade secret, copyright, or other proprietary rights of any party, including without limitation the promoting of an illegal or unauthorized copy of another person's copyrighted work or (ii) any party's proprietary, publicity, privacy, or other rights. Designer further represents and warrants that Contributor Content is and will not be defamatory or libelous, or offensive to us (as determined by us in our sole discretion).

5. License. You agree not to use, copy, reproduce, distribute, publish, display, perform, modify, create derivative works of, transmit, retransmit, sell, publish, broadcast, circulate, display or in any way exploit any Content (including any copyrighted material, trademarks, or other proprietary information), in whole or in part, whether by e-mail or by any other means, for any purpose other than for your personal, noncommercial use. Notwithstanding the foregoing, you may download Content as machine readable copies and/or print copies of any web page, provided that such copies will be used for your own personal (noncommercial) use and not for the purposes of competing in any manner with Operator.

6. Links. The Web site may provide links to other web sites of possible interest to you. Because we have no control over such web sites, you acknowledge and agree that we are not responsible for the availability of such web sites and do not endorse and are not responsible or liable for any content, advertising, services, products, or other materials on or available from such web sites. You also acknowledge and agree that Operator shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, advertising, services, products, or other materials on or available from such web sites. All such web sites shall be subject to the policies and procedures of the owner of such web sites.

7. DISCLAIMER OF WARRANTIES.

7.1 YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE WEB SITE AND PARTICIPATION IN VOICE IS AT YOUR SOLE RISK. OPERATOR DOES NOT ASSUME ANY RESPONSIBILITY FOR HOW YOU USE THE INFORMATION PROVIDED THROUGH THE WEB SITE OR OBTAINED AT VOICE, AND MAKES NO PROMISES, GUARANTEES, PREDICTIONS OF SUCCESS OR ANY CLAIMS TO SPECIAL EXPERIENCE, INSIGHT, OR EXPERTISE IN ENABLING YOU TO OBTAIN SUCH INFORMATION. NO INFORMATION OBTAINED FROM OPERATOR, OR ANY THIRD PARTY PARTICIPATING IN VOICE, WHETHER PROVIDED ORALLY OR IN WRITING, SHALL CREATE ANY EXPRESS OR IMPLIED WARRANTY. YOU ACKNOWLEDGE AND AGREE THAT THIRD PARTIES AT VOICE WHO TEACH CLASSES OR CONDUCT WORKSHOPS, INTERVIEWS, AUDITIONS OR OTHER ACTIVITIES DO SO EXCLUSIVELY ON THEIR OWN BEHALF AND VOICE IS NOT RESPONSIBLE FOR ANY LIABILITY ARISING OUT OF YOUR INTERACTION WITH SUCH THIRD PARTIES. OPERATOR SHALL HAVE NO LIABILITY, OBLIGATION OR RESPONSIBILITY TO YOU OR ANY OTHER PERSON FOR ANY LOSS, DAMAGE, OR ADVERSE CONSEQUENCE ALLEGED TO HAVE HAPPENED DIRECTLY OR INDIRECTLY THROUGH YOUR USE OF THE WEB SITE OR PARTICIPATION IN VOICE. SPECIFICALLY, OPERATOR DISCLAIMS ANY IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR ANY PARTICULAR PURPOSE REGARDING THE WEB SITE AND VOICE EVENT.

7.2 OPERATOR DOES NOT MAKE ANY GUARANTY OF THE ACCURACY, CORRECTNESS, USEFULNESS OR COMPLETENESS OF, AND IS NOT LIABLE FOR LOSSES OR DAMAGES ARISING FROM, ANY CONTENT APPEARING ON THE WEB SITE, MATERIALS APPEARING AT VOICE OR ANY PRODUCTS OR SERVICES PROVIDED THROUGH OR IN CONJUNCTION WITH THE WEB SITE OR AT VOICE, AND IS NOT RESPONSIBLE FOR ANY ERRORS OR OMISSIONS ARISING FROM THE USE OF ANY SUCH CONTENT, MATERIALS, PRODUCTS OR SERVICES. ANY SUCH PRODUCTS OR SERVICES PROVIDED AS PART OF THE WEB SITE OR AT VOICE ARE ACQUIRED BY YOU “AS IS” AND “WHERE IS”. FURTHERMORE, OPERATOR DOES NOT ENDORSE AND IS NOT RESPONSIBLE FOR ANY SERVICES PROVIDED OR ACTIVITIES CONDUCTED BY THIRD PARTIES DURING VOICE, INCLUDING WITHOUT LIMITATION ANY PANEL DISCUSSIONS, CLASSES, WORKSHOPS, INTERVIEWS OR AUDITIONS.

8. LIMITATION OF LIABILITY.

8.1 IN NO EVENT SHALL OPERATOR BE LIABLE FOR LOST PROFITS OR ANY SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE WEB SITE OR VOICE, OR ANY GOODS AND/OR SERVICES ACQUIRED THROUGH THE WEB SITE OR DURING VOICE, WHETHER OR NOT OPERATOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE AGGREGATE LIABILITY OF OPERATOR TO YOU OR ANY THIRD PARTY IN ANY CIRCUMSTANCE IS LIMITED TO THE LESSER OF (A) THE VALUE PAID BY YOU FOR THE GOODS AND/OR SERVICES WHICH GIVE RISE TO SUCH A CLAIM, OR (B) ONE THOUSAND DOLLARS ($1,000).

8.2 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL OR PUNITIVE DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS IN SECTIONS 7 OR 8 HEREOF MAY NOT APPLY TO YOU.

9. Indemnity. You agree to indemnify, defend and hold Operator harmless from any claims, demands or damages (actual and consequential, direct and indirect) of every kind and nature, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of the Agreement, or your violation of any law or the rights of a third party.

10. Third Parties. Your participation, correspondence or business dealings with any third party found on or through the Web site or resulting from contacts made during VOICE, regarding payment and delivery of specific goods and services, and any other terms, conditions, representations or warranties associated with such dealings, are solely between you and such third party. You agree that Operator shall not be responsible or liable for any loss, damage, or other matters of any sort incurred as the result of such dealings.

11. Special Requests. Any and all special requests, including without limitation a request from a Registrant for the provision of hearing-impaired interpreters at VOICE, must be delivered in writing to us no less than sixty (60) days prior to VOICE. Operator shall make every effort to accommodate such Special Requests, but cannot guarantee that such requests will be provided or are available.

12. Privacy. Operator views the protection of your privacy as an important responsibility. By using the Web site, you consent to the collection and use of your PII by us as described in the Privacy Policy.

13. No Agency. No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created between you and Operator by the Agreement.

14. Notices. Except as provided in the following sentence, all notices hereunder shall be given by certified mail, postage prepaid and return receipt requested, to: VOICE, 13639 Freeport Rd., San Diego, CA 92129, and to a Registrant at the address listed in such Registrant's registrant profile. Notice shall be deemed given three (3) days after the date of the mailing.

15. Governing Law. You acknowledge and agree that the Agreement shall be governed by and construed in accordance with the internal laws of the State of California excluding conflict of law provisions thereof that would indicate the application of the laws of any other jurisdiction and you hereby submit to exclusive jurisdiction in the federal and state courts of California. You agree to receive service of process through certified mail or by other means sanctioned by law, and you expressly waive any claim of improper venue and any claim that such courts are an inconvenient forum.

16. Assignment. You agree not to resell or assign your rights or obligations under the Agreement. You agree that the Agreement may be automatically assigned by Operator, in its sole discretion, to a third party.

17. General. If any provision of the Agreement is held to be invalid by a court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of the Agreement, which shall remain in full force and effect. Section headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. The Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof. The provisions of the Agreement will survive termination or expiration to the extent necessary to carry out the intentions of the parties.
